            But the stuff we design and proto-typed are moved by big business to off shore sites. The cost of labor due to unions makes it impossible to produce and sell at a profit. My job is gone with the wind (either PR, Brazil or Europe…).

            They bankrupted the auto industry, they drove the shoe and clothing manufacturing out of the northeast, the furniture business out of N. Carolina, the steel industry from Pittsburg, etc.
            The union leaders are all doing well but their constituency suffers from THEIR personal greed.
            Hostess went out of business directly as the result of union greed – many of the unions within the Hostess company had agreed with purposals to keep the company intact but the largest, bakers, etc. leaders decided to push one step to far and the bankruptcy ensued.

            The fact that you don’t get how union-based costs drive businesses to other countries is the stupidest thing I’ve read, well, forever. Let me lay it out for you dimwit. When costs go up (due to union labor requirements, etc.) for company one, but not for competing company two, company one is now less competitive and must do things to reduce their costs. So what does company one do? They close shop in the US to get away from uncompetitive labor rates and start production elsewhere to avoid the union extortion. Wasn’t that simple? It’s called economics. You really should have been paying attention when you were in high school instead of lighting your buddies farts on fire.

            Before you go blaming the union for Hostess’ demise, look at the facts.

            In 1995 a company called International Bakeries, which was essentially a vulture capital arm of a computer company called Data Processing Financial and General Corporation, went on a massive spending spree. They not only bought Hostess but the San Francisco French Bread Company, John J. Nissen Baking Company, Drake’s, My Bread Company, and tons of other companies.

            They did this by borrowing like crazy and eventually defaulted on their loans, leading to bankruptcy in 2004.

            In 2009 they emerged from bankruptcy by BORROWING MORE MONEY. They borrowed from Ripplewood Holdings, Silver Point, Monarch, and GE Capital. All these loans caused more payments and more interest accruing, leading to more and more debt. It was this debt that caused their collapse.

            If it hadn’t been for easy credit, merger mania, leveraged buyouts, and greedy conglomerates whose philosophy was “if you can’t beat them buy them out,” then all the little brands (including Hostess) that this group of predators bought with borrowed money might still be small and innovative enough to survive financial hard times with little or no debt of their own.

            So always remember: it wasn’t the unions that killed the Twinkie, it was the modern vulture capitalist culture.

            While Hostess and you are trying to scapegoat the workers and members of the Bakery, Confectionery, Tobacco Workers and Grain Millers (BCTGM), the real cause of the company’s collapse can be traced back to its crony capitalism and consistently poor management (a la Bain Capital).

            Since the first bankruptcy in 2004, BCTGM members across the country have taken dramatic wage and benefit concessions. Twenty-one Hostess plants were shut down and thousands of jobs were lost anyway. At the time of the first bankruptcy, Hostess workers were assured by management that money saved via concessions and plant closings would help make the company stronger, more vibrant and more competitive.

            Hostess failed because its six management teams over the last eight years were unable to make it a profitable, successful business enterprise. Despite a commitment from the company after the first bankruptcy that the resources derived from the workers’ concessions would be plowed back into the company, this never materialized. Management refused to invest in modernizing its bakeries or devote necessary resources to advertising and marketing, product development and new technology. Business plan after business plan failed, leaving the company ever deeper in debt.”

            Six CEOs in 10 years have failed to turn the company around. Since 2001, plants were closed and thousands of workers laid off, yet the company still isn’t viable. Now, 18,000 workers will lose their jobs.

            In fact, according to the company’s 1113 filing with the bankruptcy court earlier this year, as well as its last/best/final and non-negotiable proposal to its BCTGM-represented workers, the company was planning to close at least nine bakeries as part of its reorganization plan, although the company refused to disclose which bakeries it intended to close. This is in addition to the three bakeries that were to be closed as a result of the company’s planned sale of its Merita division.

            Additionally, St. Louis Mayor Francis Slay said in a Nov. 13 KMOX-CBS St. Louis article, “I was told months ago they were planning on closing the site in St. Louis…. and there was no indication at that time it had anything to do with the strike the workers were waging.”

            More specifically the company has more than $850 million of secured debt outstanding. It has more than $180 million in accrued workers compensation liabilities. Another $50 million to $60 million is outstanding to trade creditors, plus $36 million in lease obligations. And now it is going to lay a $75 million debtor-in-possession loan on top of that to provide additional cash.

            All this from a company with assets of just over $980 million.

            The way Hostess run things is, well, odd. According to the company, the chief financial officer: “is responsible for driving the planned priorities of the finance organization in both the front and back office and regularly collaborates with the marketing, sales and operations departments.”

            “Driving the planned priorities?” Hmm…

            There’s another question begging to be asked: Don’t C.F.O. s normally work closely with the treasury departments, too?

            Turns out that Hostess has no treasury department. It apparently doesn’t have anyone who can perform treasury functions AT ALLl.

            The company has asked the bankruptcy court for permission to hire FTI Consulting to do the work. Apparently Hostess does not have much of a finance department either, since FTI is also providing employees for that department.

            FTI will provide three people to staff Hostess’ treasury department. The interim treasurer gets monthly fees that work out to an annual salary of $780,000. His two deputies get $660,000 per year, each. On top of that, the finance department group gets paid hourly rates that top out at $895 per hour. Hostess is also asking to retain a financial adviser.

            And then there is the $1.25 million completion fee that FTI will get at the end of the case.

            Over the past eight years since the first Hostess bankruptcy, BCTGM members have watched as money from previous concessions that was supposed to go toward capital investment, product development, plant improvement and new equipment was squandered in executive bonuses, payouts to Wall Street investors and payments to high-priced attorneys and consultants.

            As the company was preparing to file for bankruptcy earlier this year, the then-CEO of Hostess was awarded a 300 percent raise (from approximately $750,000 to $2,550,000) and at least nine other top executives of the company received massive pay raises. One such executive received a pay increase from $500,000 to $900,000 and another received one taking his salary from $375,000 to $656,256.

            Over the last sixteen months, Hostess workers have seen the company unilaterally end contractually obligated payments to their pension plan. Despite saving more than $160 million with this action, the company continues to fall deeper and deeper into debt. Nice trick, that.

            Obtw, according to a report by the Wall Street Journal , Hostess’ CEO, Gregory Rayburn, admitted that his company stole employee pension money and put it toward CEO and senior executive pay (aka “operations”). While this isn’t technically illegal, it’s STILL another sleazy theft by Hostess executives who’ve paid themselves handsomely while running their company into the ground. Just last month, a judge agreed to let Hostess executives suck another $1.8 million out of the bankrupt company to pay bonuses to CEOs.

            If there’s no way to recover the money for the Hostess pension plans for workers, then we the taxpayers, through the Pension Benefit Guaranty Corp, will have to foot the bill to make sure workers get the retirement money they paid in. Well, some of it anyway.

            Hostess shows us clearly what Bain-style predatory capitalism is all about: big bucks for the very few rich executives, layoffs and poverty for the workers and their communities. A mountain of debt and gross mismanagement by a string of failed CEOs with no true experience in the wholesale baking business have left this company unable to compete much less survive.

            It’s called economics. You really should have been paying attention when you were in high school instead of lighting your buddies farts on fire or whatever it was you guys were doing out there.

Because of the endless other regulations introduced by the left that make operating a business in the US exceeding expensive and risky compared to other countries. If the “I worship at the alter of government” party were serious about retaining business in the US, they’d start with reducing the corporate income tax rate which is the highest in the industrialized world. Imagine that, our corporate tax rate is higher than even socialist Sweden (and the Dims swear up and down they aren’t Marx aficionados).

We have BMW, Honda, Nissan and other foreign brands made right here in the south w/o union labor, and the employees are paid well and have great benefits w/o union dues and those companies are doing quite well. Caterpillar and Michelin also in the south and doing quite well while compensating employees quite handsomely. We Republicans are thankful for them all. We drive a Honda, not overpriced Government Motors products.

            Republicans were considering supporting the insourcing bill until Senate Majority Leader Harry Reid (D-Nev.) said he wouldn’t include any GOP amendments. The bill was devoid of serious content because it was product of pure politics rather than economic priorities.

            Douglas A. Shackelford, a professor at the University of North Carolina at Chapel Hill’s Kenan-Flagler Business School, said “It sells politically in certain places so I can certainly understand the political game.” He also stated that “decisions about whether to employ workers overseas were more complex than the outsourcing debate takes into account. It would be good if our political debate went beyond that level of crude assessment into more fundamental issues about how we can grow and expand our economy.”

            The official tax analysts for Congress at the Joint Committee on Taxation said that disallowing the deduction for outsourcing expenses would raise just $14 million next year, which appears to indicate that the measure wouldn’t deter outsourcing very much. Additionally, the U.S. Chamber of Commerce opposes Stabenow’s bill
            on grounds it would harm economic growth and U.S. companies’
            competitiveness, and make the tax code more complex.

        It is Grupo Bimbo. Among other US companies, they bought out Mrs. Baird’s in Texas. They are probably the largest bakery company in the USA and they have many, many jobs for Americans right here in the USA.

            Don’t forget that Obama’s government bailout of GM violated legacy government loan regulations in that unions (which supported his campaign) got priority over stockholders (who didn’t support his campaign). Note that non-unionized DELPHI (a GM spinoff) employees got shafted while union employees benefitted. Note also that while Obama et al claim GM is doing great, the only reason GM is still doing anything at all is because it hasn’t paid back $25 BILLION of the loan.

          It has been my privilege to eat Mrs. Baird’s bread for 47 years and within a month of that purchase the texture and quality of that bread vanished – it became much more coarse and “Mrs. Baird’s flavor” sudenly went missing.
          The also closed the bakery in Dallas as well as other locations.

BTW, if you read labels to find where products are made (shoes, microwaves, toasters, clothing, and so forth), even those with traditional American names like Dr. Scholls, GE, Hotpoint, RCA,etc) you’ll see many are produced in China, Japan, Taiwan, Philippines, India, Mexico and so on. Find out where your truck or car are produced; it might surprise you.

I witnessed this same stupidity in the early 1980′s with a Fortune 500 company. The economy was in a major recession but the union was demanding a $0.09 an hour raise. Due to a very poor economy the company offered $0.03. After months on strike the union settled for $0.06. These idiots really thought they had showed the company and were bragging about it. Several months after the end of the strike the company announced they were closing the plant and moving it to Reynosa Mexico. Instead of trying to work with the company to keep the plant in the USA, the union idiots were knifing each other in the back to see which one would be the last out of the door!

This caused two different Hostess trucks to do deliveries at the same store. How the hell does a business remain profitable under those circumstances?

Unions lost their worth many years back, once companies figured out they can’t treat people like that and had to pay out a fair wage, the union became just another place to spend money. They don’t protect your job, they don’t protect discrepancies, and yes they can boot you from the union. Your boss might not be able to fire you but the union can. Plus they get away with actions that would land anybody else in prison for decades. The only thing they do is make union bosses filthy rich and powerful.     The unions are the cause of many manufacturing businesses to leave the US and/or make American products uncompetitive with the foreign products . The principle reasons for the formation of unions in the past is now handled by the federal government. There are over 100 government agencies that handle safety, discrimination, equality etc, all the unions do is demand more input for less output. Then the unions contribute to democratic campaigns (buy) using the dues of the workers. The unions used $50 million in Wisconsin to recall the governor and prevent the state from getting out of debt. That $50 million would have really helped the 18,500 people now out of work from Hostess. Then the latest debacle of restricting nonunion electricians from working in New Jersey post the superstorm?

The problem is unemployment funds are quickly drying up all over the country and gov’t agencies are cracking down on phony disabilities. But not to worry.     It isn’t greed on the union’s part when the company reneged on its CONTRACTUAL OBLIGATIONS regarding contributions to workers’ pensions. In addition, Hostess threatened workers with a 30 percent pay reduction. When a worker violates his/her agreement with a company they are terminated. Why should a company not be held to the same standards it expects from its employees? Hostess also tried bringing in scabs across the picket line so as to try and pay other workers unfair wages. The workers won by bringing a corporate whore to its knees. Another company, such as FLOWERS (which is owned by the same equity firm that owns Pabst Brewing) is poised to make a bid. So goes the advantage of a free market society. People are tired of pure corporatism at the expense of the worker and if a company can’t maintain its promises to workers (its most valuable asset) it doesn’t -deserve- to be in business.

    I never buy any foods made outside of the US, these other country’s have no inspectors watching to make sure the food is safe. China is known for putting unsafe things in their products, (FOOD AND TOYS) one was tooth paste. The US found in China’s tooth paste ANTI-FREEZE no less which can be lethal in the right amount. And I never shop at any $.99 cent stores, there owned mostly by Chinese and sell mostly chinese made products.

    It was only about 3,000 key union employees which struck Hostess, but they were the ones critical to the baking process. In addition, Hostess had some typical union-mandated work rules that added tremendously to labor costs, and greatly stymied operating efficiency. They had separate loading crews, depending on whether Twinkies or Ding Dongs were being loaded into trucks for example. This is a typical example of why the unions themselves have force so many companies to go “off shore”. Then combines that with many of the regulatory dictates by the government, sympathetic rulings by the courts and NLRB for the unions, and it becomes clear why companies leave if they want to survive. Too many union members believe that spending another year on the job automatically entitles them to more money, although they may have done nothing to make themselves more productive to their employer.
    It should also be noted that successive administrations of BOTH parties have repeatedly failed to take the necessary steps to protect US interest during trade negotiations, and have, in fact, gone so far as to give financial support to foreign interests in the form of “foreign aid”.
